1. Introduction

These Terms of Service ("Terms") govern your access to and use of Ventor AI ("the Service"), a product of Horfay Taqnia Private Limited (CIN: U72900JK2022PTC013845), registered at Block A, STPI, Rangreth, SIDCO, Srinagar, Jammu & Kashmir 191132, India ("the Company", "we", "us", or "our").

By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, you may not use the Service.

2. Description of Service

Ventor AI is an AI-powered B2B export sales intelligence platform that provides buyer discovery, lead scoring, personalized outreach generation, inbox classification, proposal generation, and analytics for export businesses. The Service operates on a credit-based model where AI-powered actions consume credits from your account balance.

3. Account Registration

To use the Service, you must create an account by providing your organization name, full name, email address, and a secure password. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

You must provide accurate and complete information during registration. You must be at least 18 years old and have the authority to bind your organization to these Terms.

4. Subscriptions and Payments

The Service offers free and paid subscription tiers. Paid subscriptions are billed on a monthly or annual basis through Razorpay, our payment processing partner. By subscribing to a paid plan, you authorize us to charge the applicable fees to your chosen payment method.

• Subscription fees are charged in advance for each billing period.
• Annual subscriptions are billed as a single payment for the full year.
• One-time credit packs may be purchased separately and do not auto-renew.
• All prices are inclusive of applicable taxes unless stated otherwise.
• Currency options include USD and INR.

5. Credits

AI-powered actions on the platform consume credits. Different actions have different credit costs, as displayed on the pricing page. Credits are allocated monthly with your subscription and reset each billing cycle. Unused credits do not carry over beyond the maximum balance for your plan tier.

One-time credit pack purchases are added to your balance immediately and remain available until used, subject to the maximum balance cap for your plan.

6. Acceptable Use

You agree not to:

• Use the Service for any unlawful purpose or in violation of any applicable laws or regulations.
• Send spam, unsolicited messages, or any communication that violates applicable anti-spam laws (including CAN-SPAM, GDPR, and India's IT Act).
• Attempt to gain unauthorized access to the Service, other accounts, or our systems.
• Reverse engineer, decompile, or disassemble any part of the Service.
• Use the Service to collect or store personal data in violation of privacy laws.
• Resell, sublicense, or redistribute the Service without written permission.

7. Intellectual Property

The Service, including its design, code, AI models, algorithms, and documentation, is the intellectual property of Horfay Taqnia Private Limited. Your use of the Service does not grant you ownership of any intellectual property rights in the Service.

Content generated by the AI (outreach sequences, proposals, lead analyses) for your use is licensed to you for your business purposes. You retain ownership of the data you upload to the platform.

8. Data and Privacy

Your use of the Service is also governed by our Privacy Policy. We collect and process data as described therein. You are responsible for ensuring that your use of lead data and outreach complies with applicable data protection laws in your jurisdiction and the recipient's jurisdiction.

9. Disclaimer of Warranties

The Service is provided "as is" and "as available" without warranties of any kind, express or implied. We do not guarantee that AI-generated content will be accurate, complete, or suitable for your specific purposes. Lead data, scores, and recommendations are generated by AI and should be validated by your team before taking business action.

10. Limitation of Liability

To the maximum extent permitted by applicable law, Horfay Taqnia Private Limited shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of the Service. Our total liability shall not exceed the amount paid by you to us in the twelve (12) months preceding the event giving rise to the claim.

11. Termination

You may cancel your account at any time. We may suspend or terminate your access if you violate these Terms. Upon termination, your right to use the Service ceases immediately. We may retain your data for a reasonable period as required by law or legitimate business purposes.

12. Modifications to Terms

We reserve the right to update these Terms at any time. We will notify registered users of material changes via email. Continued use of the Service after changes constitutes acceptance of the updated Terms.

13. Governing Law and Jurisdiction

These Terms are governed by the laws of India. Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the courts in Srinagar, Jammu & Kashmir, India.
